CYTTEK TERMS OF SERVICE (TOS)

1. ELIGIBILITY

You must be at least 18 years old and legally competent under applicable law to use the Services. By using the Services, you represent and warrant that you meet these eligibility requirements.

2. ACCOUNT REGISTRATION AND SECURITY

To access certain features of the Services, you must create an account and provide accurate, current, and complete information. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to:

• Notify CYTTEK immediately of any unauthorized use;
• Maintain accurate account information;
• Not assign or transfer your account to any other person.

3. LICENSE GRANT

Subject to compliance with these Terms, CYTTEK grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes. Except as expressly permitted by these Terms, you may not:

• Copy, modify, distribute, sell, or lease any part of the Services;
• Reverse engineer or attempt to extract the source code of software;
• Access or use the Services for any illegal or unauthorized purpose.

4. FEES, SUBSCRIPTIONS AND BILLING

Some Services may require a paid subscription or transaction-based fees. When you make a payment, you authorize CYTTEK and our third-party payment processors to charge your payment method. You agree that:

• All fees are non-refundable except where required by law;
• Subscription services will auto-renew unless you cancel prior to the renewal date;
• CYTTEK may change prices and billing methods by providing prior notice.

5. USER CONDUCT

You agree not to use the Services to:

• Violate any applicable law or regulation;
• Upload, post, transmit, or share any content that is unlawful, harmful, or offensive;
• Harass, abuse, or harm another person;
• Interfere with or disrupt the Services or servers;
• Impersonate any person or entity.

6. THIRD-PARTY CONTENT AND SERVICES

The Services may link to or integrate with third-party websites, services, or content. CYTTEK does not endorse, control, or assume responsibility for any third-party services. Your use of such services is subject to their own terms and policies.

7. INTELLECTUAL PROPERTY RIGHTS

All content and technology on the Services, including trademarks, logos, software, and documentation, are owned or licensed by CYTTEK and protected by intellectual property laws. You may not use our branding without our prior written consent.

8. TERMINATION

CYTTEK may suspend or terminate your access to the Services at any time, for any reason, including violation of these Terms. Upon termination:

• All rights granted to you will terminate;
• Your access and account data may be deleted;
• Sections related to limitation of liability, indemnification, and dispute resolution will survive termination.

9. DISCLAIMER OF WARRANTIES

The Services are provided "as is" and "as available" without warranty of any kind. CYTTEK makes no representations or guarantees:

• That the Services will be secure, timely, or error-free;
• That content will be accurate or reliable;
• That the Services will meet your expectations or requirements.

10. LIMITATION OF LIABILITY

To the maximum extent permitted by law, CYTTEK is not liable for:

• Any indirect, incidental, punitive, or consequential damages;
• Loss of profits, business, or data;
• Any liability exceeding the total fees paid by you in the past 12 months.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless CYTTEK and its affiliates, officers, employees, and agents from any claims, damages, liabilities, and expenses arising from your:

• Violation of these Terms;
• Misuse of the Services;
• Infringement of third-party rights.

12. DISPUTE RESOLUTION

Any dispute arising from or related to these Terms shall be resolved through binding arbitration conducted in Abu Dhabi, UAE under the rules of the Abu Dhabi Commercial Conciliation and Arbitration Center (ADCCAC). The arbitration shall be conducted in English. You agree that CYTTEK may enforce its rights in any jurisdiction where the Services are used.

13. GOVERNING LAW

These Terms are governed by the laws of the Emirate of Abu Dhabi and the federal laws of the United Arab Emirates, without regard to conflict of laws principles.

14. CHANGES TO TERMS

CYTTEK may revise these Terms from time to time. We will notify you of material changes via email or through the Services. Continued use after the effective date constitutes acceptance.

15. MISCELLANEOUS

These Terms constitute the entire agreement between you and CYTTEK. If any provision is found unenforceable, the remainder shall remain in effect. Our failure to enforce any right or provision shall not be deemed a waiver.
